Summary in plain words
- OKKO Capital ("OKKO") runs a marketplace where users publish Listings of businesses for sale and investment opportunities in the UAE, and contact each other. OKKO is not a broker, advisor or party to any deal. No funds pass through the Platform.
- OKKO does not verify Listings, figures, documents, users or anyone's capital. Everything in a Listing is the owner's own statement. Check it yourself before you act on it.
- Anyone can read published Listings. You need an account to see an owner's contact details and to respond. When you respond, the owner gets your name and email address, and a Chat opens.
- OKKO staff do not read Chat as part of their work. A reported message can be opened by one senior administrator, with up to five messages each side, and every opening is recorded. Other exceptions are in the Privacy Policy.
- OKKO may check a Listing before or after it goes live, and may return, unpublish, remove, restore or edit Listings that break these Terms. A live Listing is not verified or approved by OKKO.
- The homepage leaderboard is ordered by the OKKO Rating, which measures how complete a Listing is, nothing more. It is not a quality mark or a recommendation.
- OKKO also sells consulting to some owners. In that work OKKO acts for the owner, not for you.
- You can connect AI tools and create API keys that act on your account. You are responsible for what they do, and you can revoke them at any time.
Defined terms
- OKKO, we, us: OKKO Capital, the operator of the Platform.
- Platform: the OKKO Capital website, its API, the OKKO Telegram bots and channel, and the AI connection ("Connect OKKO").
- You: any person who visits or uses the Platform, with or without an account. If you use the Platform for a company, "you" also means that company, and you confirm you may bind it.
- Listing: a business for sale or an investment opportunity published by a user. Its owner is the user who published it.
- Response: the message and short answers a logged-in user sends to a Listing's owner through the Platform.
- Chat: the conversation the Platform opens between a Listing's owner and a person who responded.
- Administrator: an OKKO staff account. A full administrator has the highest access level.
- Terms: this document. The Privacy Policy is a separate document that explains how personal data is handled.
One account can be seller, buyer and investor at the same time. These Terms apply to you in every one of these capacities.
1. Acceptance
These Terms apply whenever you use the Platform: browsing as a visitor, holding an account, publishing a Listing, responding, chatting, using a Telegram bot, or letting an AI tool act for you. If you do not agree with them, do not use the Platform.
When you create an account you accept these Terms and confirm that you have read the Privacy Policy by ticking the box on the sign-up form. We keep a record of the version you accepted and when. You agree that accepting electronically is as binding as signing on paper.
2. What OKKO is and is not
2.1 The marketplace
OKKO provides a place to publish Listings and to contact their owners.
OKKO is not:
- a broker, agent or intermediary in any sale or investment made through the marketplace;
- a financial, legal, tax or investment advisor;
- a party to any agreement you make with another user;
- a payment service: no funds pass through the Platform between users, and OKKO never holds money on anyone's behalf;
- a crowdfunding platform. OKKO does not collect money from investors for any project.
OKKO does not:
- verify any Listing, business, financial figure, document, projection or owner;
- verify who users are or whether a buyer or investor has the money they say they have;
- guarantee that any Listing is genuine, that any deal will happen, or that any figure is right.
A Listing is not an offer of securities to the public. It is information an owner publishes to find a buyer or an investor. It is not a prospectus. The owner alone is responsible for making sure that any sale or investment offer complies with the law, including the rules of the UAE Capital Market Authority and, where they apply, of the DFSA or the FSRA.
If you mark a Listing as closed, that is your own statement. OKKO does not witness or confirm any transaction.
Any agreement to buy, sell or invest is made between you and the other user, outside the Platform, on terms you agree between yourselves. Do your own checks and take your own advice.
2.2 OKKO's consulting clients on the marketplace
OKKO also provides paid consulting to some owners (section 9). Their Listings are published on the same marketplace. When OKKO works for a consulting client, it acts for that owner and is paid by that owner, and its pay may depend on whether the owner sells or raises capital. OKKO does not act for buyers or investors. Take this into account when you read anything OKKO says about such a Listing.
3. Accounts and eligibility
- One account per email address. You can sign up with an email and password, or with Google or Apple. A password account can be used only after you confirm your email with the code we send. Google and Apple accounts count as confirmed.
- Truthful details. Give your real name and a working email address. A phone number is optional. Do not open an account in someone else's name.
- Capacity. You confirm that you have the legal capacity to agree to these Terms under the law that applies to you, or that you act with the consent of your legal representative.
- Where you are. Listings must be for businesses in Dubai, Abu Dhabi or Sharjah and are priced in AED. You may use the Platform from anywhere, but you are responsible for complying with your own local law.
- Sanctions. You confirm that you are not a person, and do not act for a person, on a sanctions list of the United Nations or the UAE.
- Keep your account safe. You are responsible for everything done with your account, including by AI tools and API keys you connect (section 11). Keep your password, keys and devices private. Tell us at the support address if you think someone else has access.
- Logging out. "Log out everywhere" ends your logins on all devices. It does not revoke API keys or connected AI tools; revoke those separately. A password reset revokes all three.
- Staff accounts. Administrators are OKKO staff. Their powers are listed in section 7.
4. Listings and your responsibilities
When you publish a Listing you are the author of everything in it.
4.1 What you promise
When you publish or update a Listing, you confirm that:
- Truth. Everything in your Listing is true, current, complete enough not to mislead, and yours to publish. Figures, valuations, projections and documents are your own statements. Projections are made in good faith and are marked as projections. The Platform marks profit, growth and return figures with a note that they are the owner's own estimates and are not verified by OKKO. That note is correct and you agree to it.
- No guaranteed returns. You do not promise a fixed or guaranteed return.
- Authority. You own the business, or you are authorised by its owners to offer it for sale or to raise capital for it, and you can show that authority if asked.
- Nothing hidden. You have not hidden any debt, pledge, dispute, court case, regulatory proceeding or other fact that a reasonable buyer or investor would want to know.
- Lawful business and licences. The business and the proposed deal are lawful, and the business holds the licences it needs.
- Your offer is your responsibility. If you offer shares, loans or any other investment, you are responsible for complying with the law that applies to that offer (section 2.1).
- Rights in your content. You have the right to use every photo, video, document and logo you upload.
- Other people's data. You do not upload other people's personal data without their permission, and you do not upload identity documents or sensitive personal data (see the Privacy Policy).
- Keeping it current. You update, pause or withdraw the Listing when something important changes or the business is no longer available, and in any case when the business model, the owners or key managers change, when financial figures or projections you published change by more than 20%, or when a new debt, pledge, dispute, court case or regulatory issue arises.
4.2 How Listings work
- Required content. A Listing needs at least one public photo before it can be submitted. Media limits: images 15 MB, videos 200 MB, PDF documents 25 MB. The logo is always public.
- Public and private files. Public files and your profile photo are stored at permanent public web addresses: anyone with the address can open them, and they may be copied by others or by search engines. They stay at those addresses after a Listing is withdrawn or removed. Documents you mark private are shown only to you and Administrators, through links that expire after five minutes. Files are checked for type by content. They are not scanned for viruses.
- Your contact details. The phone, email, WhatsApp and Telegram you enter for a Listing are shown to every logged-in user and in the OKKO Telegram bot to users who linked their account (section 5). Anyone can open an account, so treat them as public. Do not enter contact details you do not want shown.
- Statuses you control. You can save a draft, submit, pause and resume, withdraw and restore, and mark a Listing closed. Withdrawing hides the Listing; nothing is deleted. Restoring follows the normal publishing rules. You can delete single files. A Listing that an Administrator has removed cannot be edited.
- Closed Listings. A Listing you mark closed stays reachable by its link but no longer accepts Responses.
- No whole-Listing deletion. There is no button to delete a Listing entirely.
4.3 Listings that are not allowed
You may not publish a Listing for:
- a business or activity that is unlawful in the UAE or in the place where it operates;
- a business that does not exist or that you have no right to offer;
- deposits, loans to the public, collective investment schemes, digital assets, or any scheme that promises fixed or guaranteed profits;
- any financial product whose offer requires a licence that you do not hold;
- anything that is a pyramid or Ponzi scheme, or is meant to launder money or avoid sanctions.
5. Who can see what, and who can contact whom
Visibility is enforced by the Platform's servers: what you are not allowed to see is not sent to your browser or your AI tool.
- Visitors without an account see every published Listing in full, except the owner's contact details and private files, while the "guests see listings" setting is on (the default). If OKKO switches it off, visitors see only the type, sector, city, status and dates of a Listing.
- Logged-in users always see the full Listing, and see the owner's contact details on any Listing that is not their own. Only logged-in users can respond.
- Owners see their own Listing in full, including private files, moderation notes and received Responses.
- Administrators see every Listing, including the owner's name, email, phone, contact details and private files, for moderation.
- The OKKO Telegram bot and channel show Listings with the same rules: as a visitor, or as your account if you have linked it.
If you are a buyer or investor. You confirm that the law that applies to you allows you to consider and make the purchases or investments you explore on the Platform, and that what you say about yourself, your role, budget or experience, is true. You make your own checks of the business, its owner, its figures, documents, licences and debts, and of the legal structure of any deal, and you take your own legal, financial and tax advice.
Using what you see. Information you receive about a Listing, in Chat or in documents, is for considering that Listing only. Do not publish it, pass it to others (other than your professional advisers), or use it to compete with or harm the owner's business. Do not use owners' contact details for marketing or add them to mailing lists.
6. Responses and Chat
6.1 Responses
You can respond to any published Listing that is not your own, more than once if you wish. A Response has your choice of who you are, a budget band, a decision timeline, and a message (on the website, 10 to 4,000 characters).
The owner receives your Response in their account with your name, and by email with your name and your email address. A Chat between you and the owner opens at once. Sending a Response commits nobody to anything. It is a first contact, not an offer, a bid or a reservation.
If you respond as a broker or representative, you confirm that the person you act for has authorised you.
6.2 Chat
- A Chat exists only between a Listing's owner and a person who responded. Messages are up to 4,000 characters. You can attach JPEG, PNG, WebP and PDF files within the limits shown in the Chat.
- Each new message triggers an email to the other person with your name, the Listing title, the first 100 characters of the message and the number of files.
- A Chat is read-only when the Listing is not published or paused, and opens again when it is live again.
- You cannot delete messages or files you have sent. They stay as a record of what was said between you and the other party.
- OKKO staff do not read Chat as part of their work. The exceptions are reported messages (section 6.3) and the cases listed in the Privacy Policy (legal requests, technical work).
6.3 Reports
If you think a message breaks these Terms (spam, scam or fraud, inappropriate content, or something else), you can report it from the Chat, with a note. You can send up to 10 reports an hour.
A reported message can be opened only by a full administrator, who sees the reported message, its files, up to five messages before and after it, and the names and emails of both participants. Every opening is written to the audit log. The administrator decides: dismiss the report, remove the message, warn the sender, suspend the sender, or remove the message and suspend the sender. A removed message is kept as evidence and hidden from both people. The sender and the reporter receive a notice of the outcome.
OKKO reviews reports and may act on content that is unlawful or breaks these Terms, using the measures in sections 7 and 18. OKKO does not monitor Chat for content that has not been reported.
Reporting a Listing. You can also report a Listing by writing to sales@okkocap.com.
6.4 Conduct in Responses and Chat
Do not use Responses or Chat to send spam, to deceive, to harass, to collect other users' data, or for anything unrelated to a genuine enquiry about the Listing. Be careful about what you share: OKKO cannot check who the other person is. Never send money or identity documents to someone you have not verified. OKKO will never ask you to pay for a deal between users.
7. Moderation: what OKKO may do with a Listing, and what it means
7.1 Checks before and after a Listing goes live
OKKO may check a Listing before or after it goes live, and may check later edits to live Listings. If an edit waits for a check, the previous version stays live; new files you add appear at once and are only flagged for an Administrator. A live Listing is not verified or approved by OKKO.
Any check OKKO makes is a check of format against these Terms: that the Listing is in the right category, has the required fields and a photo, and does not obviously break section 4.3 or 14. It is not verification of the business, its figures, its documents or its owner, and it is not approval or endorsement by OKKO.
7.2 What Administrators may do
Any Administrator may, at any time and without prior notice:
- return a Listing to you for changes, with a reason, before or after it is live (unpublish);
- remove a Listing for spam, fraud or a breach of section 4, which is final for you: a removed Listing cannot be edited or restored by you;
- restore a removed Listing to the returned state so you can fix and resubmit it;
- edit the title, summary and description of a live Listing, only to fix format or to remove wording that breaks these Terms. OKKO does not add to or improve your content, and an edit does not make OKKO the author of the Listing;
- release or return an edit that is waiting for a check.
Every one of these actions is written to the audit log.
7.3 What you are told
You receive an email when your Listing goes live, is returned or unpublished (with the reason), is removed, is restored, when an edit is not applied, or when an Administrator edits it. The "live" email repeats that OKKO does not verify businesses, figures or owners. The "edited" email says that an edit is not a review or verification.
7.4 What moderation is not
Moderation is about keeping the Platform in order. It does not make OKKO responsible for a Listing's content, and it is not a statement about the quality, legality or truth of a business or an offer. OKKO may report suspected unlawful activity to the competent authorities.
8. Leaderboard and the OKKO Rating
The homepage shows a leaderboard of published Listings. It is ordered by the OKKO Rating (section 8.1). Only published Listings that are not closed appear. A Listing that is paused, withdrawn, removed or closed leaves the leaderboard until it is live again.
Owners cannot pay OKKO for a position on the leaderboard.
8.1 OKKO Rating
The OKKO Rating is a number computed automatically from how complete a Listing is: basic fields, financial detail, documents provided, photos, video, description length and quality, and how recently it was updated. OKKO may change the weights.
The Rating does not check whether anything in the Listing is true. Documents count because they are provided, not because anyone has read them. The Rating never looks at payments or moderation. A high Rating is not a recommendation, a verification or a sign of quality. It means the owner filled in more of the form.
9. Consulting services
Separately from the marketplace, OKKO offers consulting to sellers and to people raising capital. The fees are shown on the Services page: a monthly retainer and a success fee in a stated range.
- Consulting is a separate service with its own written agreement. It is not part of publishing or browsing Listings, and these Terms do not create a consulting engagement.
- Sending the consulting form is an enquiry only. It is not an engagement, and OKKO is not obliged to accept it.
- OKKO's consulting services are business consulting and marketing for its client. They do not include investment advice, and no result is guaranteed. In that work OKKO acts for its client only (section 2.2).
- Consulting enquiries are seen by full administrators only and handled as the Privacy Policy describes.
10. Figures and projections
Every figure in a Listing, a Response or a Chat comes from a user. OKKO does not check, confirm or adjust any of them.
Profit, growth and return figures are the owner's own estimates about the future. They are marked on the Platform as such. They are not forecasts by OKKO, and OKKO does not promise that any of them will be achieved.
Buying a business or investing in a private company carries a high risk. You can lose all the money you put in, and you may not be able to sell your stake.
You use any figure at your own risk. Before you buy, sell or invest, obtain the documents yourself, verify them yourself, and take professional advice.
11. AI tools and API keys acting on your account
You may let an AI tool act on your account through "Connect OKKO", or create a personal API key.
11.1 What you authorise
- A connected AI tool receives one permission, "mcp", which covers every action in the tool list. Acting as you, it can create, edit, submit and close your Listings, upload files, read your profile, read your Listings and Responses, search Listings with the same visibility rules as the website, send a Response (which emails the owner your name and email and opens a Chat), save Listings, subscribe an email address to the newsletter and send a consulting enquiry. Its access token lasts one hour and renews for up to 30 days without use. The consent page shows you the tool's name and host before you agree.
- A personal API key can do everything above and can also read and send your Chat messages and files through the API. A key has no expiry and no narrower permissions.
- Newsletter. Your AI tool may subscribe only your own email address. Subscribing someone else is a breach of these Terms.
11.2 Your responsibility
Everything a connected tool or a key does is done by you. A Listing it creates is your Listing. A Response it sends is your Response and carries your name and email. You are bound by these Terms for all of it, including the rules on truth in section 4 and conduct in section 6.4. Check what a tool writes before you let it submit. Read the tool's own terms and privacy policy: OKKO is not responsible for what the tool does with data it reads from your account, including other users' contact details you are allowed to see.
11.3 Revoking
You can disconnect any AI tool and revoke any key at any time in Account → API tokens. A password reset revokes all of them. "Log out everywhere" does not. OKKO may also revoke tools or keys that misuse the Platform.
11.4 OKKO's own use of AI
OKKO uses an AI service to draft news articles from public news feeds. A member of staff edits and approves every article before publication. No user data is sent to the AI service. OKKO does not use AI to read, rank or judge your Listings, Responses or Chat.
12. Telegram bots and channel
OKKO runs Telegram bots and a public channel. Using them is optional.
- News bot. You can subscribe to published news and unsubscribe at any time with the bot's commands.
- Listings bot. You can browse and search published Listings in the bot. Without linking, you see what a visitor sees. If you link your OKKO account with a one-time code from your profile, you see what your account sees, including owner contact details. Linking grants the bot nothing else; you can unlink in your profile.
- Channel. OKKO may post published news to its public channel.
- Every bot message about a Listing says that the figures are provided by the owner. Nothing a bot sends is a verification, an endorsement or a recommendation by OKKO.
- Telegram is a third-party service with its own terms. OKKO is not responsible for Telegram's availability or conduct.
13. Third-party services
The Platform depends on services run by others: hosting, file storage, email delivery, Google and Apple for sign-in, Telegram, analytics and error monitoring, and the AI tools you choose to connect. They are named in the Privacy Policy. Each has its own terms. OKKO is not responsible for their availability, their conduct or their handling of data beyond what the Privacy Policy says OKKO sends them.
Links in Listings, news or Chat may lead to other websites. OKKO does not control them.
14. Acceptable use
Do not:
- publish a Listing that is false, misleading, not yours to publish, or listed in section 4.3;
- publish anything unlawful in the UAE, or that infringes someone else's rights;
- publish anything that offends religion, public morals or public order, insults the UAE or any state, or incites hatred or violence;
- post other people's personal data, photos of people, or identity documents without their permission;
- use the Platform to deceive, defraud, harass or spam anyone, to launder money or to avoid sanctions, or to collect users' data;
- use Responses or Chat for anything unrelated to a genuine enquiry about the Listing;
- try to get around the visibility rules, the rate limits (currently 100 requests a minute per address, and the Chat, upload and report limits, which OKKO may change), or the gating of contact details and private files;
- scrape the Platform, copy its database, probe it for weaknesses, or interfere with it;
- open more than one account, or a new account after OKKO has acted against your account;
- let an AI tool or key do anything you may not do yourself.
There is no automatic filter for prohibited content. Breaches are handled by the moderation actions in section 7 and the measures in section 18.
15. Intellectual property and the licence you give
- Your content stays yours. You keep every right in what you publish.
- Licence to OKKO. So that the Platform can work, you give OKKO a non-exclusive, worldwide, royalty-free licence to store, display, reproduce, format, translate for display and distribute your Listing content and public files on the Platform, in the OKKO Telegram bots and channel, in emails about the Listing, in OKKO's newsletters, social media posts and advertising that promote the Listing or the Platform, and to AI tools that read the Platform with the same visibility rules as the website. In marketing OKKO uses only what is public on the Listing: never your contact details or private files. The licence lasts while the content is on the Platform and, for records kept under these Terms and the Privacy Policy and for marketing materials already published, afterwards.
- OKKO's content. The Platform's design, code, name, logo, the OKKO Rating, the news articles and case studies OKKO publishes are OKKO's or its licensors'. You may not copy or reuse them without permission, except to share links.
- Other users' content. Listings are published so you can consider a deal. Do not copy, republish or resell Listing content.
- Complaints about infringement. If you believe content on the Platform infringes your rights, write to sales@okkocap.com with the details. OKKO will look at it and may remove the content.
16. Disclaimers
The Platform is provided as it is and as available. OKKO does not promise that it will be uninterrupted, error-free or secure, that any Listing is genuine or accurate, that any user is who they say they are, that any Response leads to anything, or that any deal will complete.
OKKO gives no advice. Nothing on the Platform, in a Listing, in the OKKO Rating, on the leaderboard, in news or in a bot message is a recommendation to buy, sell or invest.
Any dispute about a deal, a Listing or a Chat is between the users involved. OKKO is not a party to it and does not mediate it.
17. Limitation of liability and indemnity
17.1 Limitation of liability
OKKO is not liable for the content of Listings, Responses or Chat, for anything that happens between users, for the acts of third-party services or of AI tools you connect, or for loss of profit, business or data arising from use of the Platform, to the extent the law allows. OKKO's total liability to you is limited to AED 5,000. Nothing excludes liability for fraud or deliberate wrongdoing, or any liability that the law does not allow to be excluded.
17.2 Indemnity
You will compensate OKKO, its owners, staff and contractors for any claim, loss, fine, penalty or cost (including reasonable legal fees) that arises from your Listing or other content, from a deal or communication between you and another user, from what your AI tools or keys do, or from your breach of these Terms or of the law.
18. Suspension, termination and removal of content
What OKKO can do: return, unpublish, remove, restore or edit a Listing (section 7); remove a reported message and warn or suspend the sender (section 6.3); end your logins on all devices (revoke sessions); and change staff roles.
OKKO may suspend or close your account, or block access to part of the Platform, if you break these Terms or the law, if your use puts other users or OKKO at risk, or if an authority requires it. Where it is safe and lawful, OKKO will tell you why.
Your side: you can stop using the Platform at any time, withdraw your Listings, revoke tools and keys, and delete your account yourself in your account settings (a waiting period applies, see the Privacy Policy, section 8). Chat messages and files you sent and Responses you sent stay as the other person's record, without your name, and audit entries are kept, as the Privacy Policy describes.
What continues after an account ends: sections 2, 4.1, 5 ("Using what you see"), 10, 15, 16, 17, 19 and 21 continue to apply.
19. Governing law and forum
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Disputes between you and OKKO go to the courts of Dubai. Before going to court, you and OKKO will try to settle the dispute by writing to each other for 30 days.
20. Changes to these Terms
OKKO may change these Terms. The date and version at the top show the current version. When OKKO publishes a new version, signed-in users are asked to accept it the next time they use the Platform. If you do not agree with a change, stop using the Platform and you may delete your account.
21. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and OKKO about the Platform. A consulting agreement governs consulting.
- Severability. If a court finds part of these Terms invalid, the rest stays in force.
- No waiver. If OKKO does not enforce a term at once, it can still enforce it later.
- Transfer. You may not transfer your account or your rights under these Terms. OKKO may transfer its rights and obligations to a company that takes over the Platform.
- Events outside our control. OKKO is not responsible for failures caused by events it cannot reasonably control, such as outages of hosting or communication providers, cyber attacks or acts of authorities.
- Notices. OKKO sends notices to the email address of your account or shows them on the Platform. You send notices to sales@okkocap.com. An email is treated as received on the day it is sent unless a delivery failure is returned within 24 hours.
- Records. OKKO's electronic records of your acceptance, your Listings and your Responses are evidence of what was done on the Platform.
- Language. The English version of these Terms is the official text. Translations into Arabic and Russian may follow. If the versions differ, the English version prevails, to the extent the law allows.
22. Complaints
To complain about the Platform, a Listing, another user or OKKO, write to sales@okkocap.com. We confirm receipt and answer as soon as we can.
